These Terms of Service (“Terms”) govern your use of the SearchBoost Local website, products, and services provided by SearchBoost Local (“SearchBoost Local,” “SBL,” “we,” “our,” or “us”).

SearchBoost Local primarily provides products and services to businesses and commercial customers. By purchasing a product or service, affirmatively accepting these Terms during a purchase or enrollment process, or entering into a written agreement that incorporates these Terms, you agree to be bound by them.

If you are purchasing on behalf of a business, you represent that you have authority to enter into an agreement on that business’s behalf. If you do not agree with these Terms, please do not purchase or use our products or services.

I. Products and Services

SearchBoost Local provides local visibility products and services focused primarily on Google Business Profile optimization, assessment, content, management, and related local search support.

Our offerings may include the following:

Visibility Boost

Visibility Boost is a one-time Google Business Profile optimization service. Depending on the scope described at the time of purchase, the service may include a full profile assessment, GPS Matrix™ scoring, correction of missing or inaccurate information, category and service refinement, photo uploads, and a post-setup review with fine-tuning if needed.

Visibility Boost is a one-time service and does not include ongoing Google Business Profile management unless a separate Premium Care service is purchased.

GPS Matrix™ Assessment Scorecard

The GPS Matrix™ Assessment Scorecard is a paid assessment product that provides a snapshot of a Google Business Profile’s visibility and search performance.

Depending on the assessment, the Scorecard may include a Visibility Score, Performance Score, Overall SBL Score, classification, and key priorities.

An assessment reflects the condition of the profile and search environment at the time the assessment is performed. It does not guarantee future rankings, visibility, traffic, leads, or other business results.

DIY Toolkit

The DIY Toolkit is a collection of educational resources, workbooks, reference materials, examples, and tools intended to help business owners manage and improve their own Google Business Profile visibility.

The DIY Toolkit is a self-service product and does not include ongoing profile management by SearchBoost Local.

Premium Care

Premium Care is SearchBoost Local’s ongoing Google Business Profile management service. Depending on the applicable service plan, Premium Care may include weekly posts, profile maintenance, content planning and publishing, photo updates as appropriate, monthly performance reviews, advanced keyword insights, competitor monitoring, quarterly review and strategy sessions, and other services described at the time of purchase.

The exact scope of Premium Care is determined by the service description, deliverables, and purchase terms applicable at the time of enrollment.

II. Google Business Profile and Third-Party Platforms

SearchBoost Local’s services may involve Google Business Profile and other third-party platforms and services. These platforms are independently operated and controlled by their respective providers.

SearchBoost Local does not control changes to third-party platforms, their algorithms, policies, review processes, search results, features, availability, or moderation decisions.

Changes made to a Google Business Profile may be reviewed, modified, rejected, delayed, removed, or otherwise affected by Google. SearchBoost Local cannot guarantee that Google will approve, retain, display, or rank any particular information, content, category, service, photo, post, or other profile element.

Clients remain responsible for maintaining ownership and appropriate access to their Google Business Profile and for providing SearchBoost Local with the access reasonably necessary to perform contracted services.

Clients should provide delegated or role-based access where available and should not provide passwords unless reasonably necessary and expressly requested by SearchBoost Local.

III. Client Responsibilities

Clients are responsible for providing accurate, complete, and current information necessary to perform the services.

Clients are responsible for:

• Providing accurate business information and service details.
• Providing timely access and approvals when required.
• Reviewing information supplied for publication when requested.
• Ensuring that claims concerning their business, services, qualifications, licenses, certifications, pricing, guarantees, promotions, and other representations are accurate and lawful.
• Not knowingly providing SearchBoost Local with false, misleading, infringing, or unlawful information or content.

SearchBoost Local may rely on information provided by the client and is not responsible for inaccuracies originating from information supplied by the client.

IV. Content and Publication

When SearchBoost Local creates or publishes content on behalf of a client, the client authorizes SearchBoost Local to use information, photographs, business descriptions, service information, and other materials supplied or approved by the client for the purpose of providing the contracted services.

SearchBoost Local will use reasonable professional judgment in developing and publishing content. Clients remain responsible for the accuracy and legality of claims concerning their business.

SearchBoost Local may decline to publish content that it reasonably believes may violate applicable law, third-party platform policies, or professional standards.

V. Visibility Reviews and Assessments

SearchBoost Local may offer complimentary Visibility Reviews to businesses upon request.

A Visibility Review is intended to provide an initial assessment of a business’s local visibility and does not create a client relationship or require the requester to purchase services from SearchBoost Local.

Paid GPS Matrix™ Assessment Scorecards are separate assessment products and are subject to the description and scope provided at the time of purchase.

Visibility Reviews and Assessment Scorecards are diagnostic products. They reflect information available at the time of the assessment and do not constitute a guarantee of future search performance or business results.

VI. Client Confidentiality and Ethics

Integrity is one of SearchBoost Local’s core values.

Client-specific business information, analytics, reports, account information, and strategy details are treated as confidential and are not shared with other clients.

SearchBoost Local may use general processes, frameworks, templates, industry best practices, content structures, or other general knowledge across multiple clients when appropriate. These materials do not include another client’s confidential information or identifying details.

When competitor monitoring is included in a service, SearchBoost Local uses publicly available information for competitive analysis. Private client analytics, account information, and confidential strategy information are not shared with or used to benefit another client.

VII. Intellectual Property

SearchBoost Local retains ownership of its proprietary systems, frameworks, methodologies, processes, templates, educational materials, assessment methods, scoring systems, and other intellectual property, including the GPS Matrix™ and related SearchBoost Local materials.

Purchasing a product or service does not transfer ownership of SearchBoost Local’s intellectual property to the client.

Subject to these Terms and payment of applicable fees, clients receive the right to use deliverables provided specifically for their business for their own business purposes.

DIY Toolkit materials are provided for the purchaser’s own business use and may not be resold, redistributed, repackaged, or presented as the purchaser’s own proprietary system.

VIII. Fees, Payment, Renewal, and Cancellation

Prices, payment options, billing intervals, and service terms are displayed on the applicable SearchBoost Local product or service page and, where applicable, immediately before purchase or enrollment.

For any automatically renewing service, the applicable checkout or enrollment process will clearly identify the recurring price, billing interval, automatic-renewal terms, and cancellation method before the purchase is completed.

Premium Care may be offered through monthly, quarterly, or annual payment options. Any applicable setup fee will be disclosed at the time of purchase.

Monthly Premium Care renews monthly at the recurring price displayed at the time of enrollment until canceled.

Clients may cancel Monthly Premium Care at any time by emailing [email protected]. Cancellation is effective upon receipt of the cancellation request, and no further recurring charge will be made after the effective cancellation date, except for charges already incurred or expressly authorized before cancellation.

Quarterly and Annual Premium Care plans are purchased for the selected service term and do not automatically renew unless the client specifically requests or authorizes automatic renewal. Before the end of the current paid term, SearchBoost Local may contact the client regarding continuation of services. If the client does not request continuation or authorize renewal, services end automatically at the conclusion of the paid term.

If a client authorizes automatic renewal of a Quarterly or Annual Premium Care plan, the applicable renewal price, billing term, and other renewal terms will be disclosed at the time of authorization. A client may request a full refund of an automatic renewal within seven (7) days after the renewal charge. After that seven-day period, the renewed service term is subject to the applicable cancellation and refund terms.

Before enrolling in an automatically renewing service, the client will be shown the applicable recurring price, billing frequency, renewal terms, and cancellation method and will be required to affirmatively authorize the recurring payment.

SearchBoost Local may retain records of purchases, agreements, acknowledgments, payment authorizations, and other transaction information for purposes of administering services, documenting authorization, resolving disputes, and complying with applicable legal or accounting requirements.

SearchBoost Local may update pricing for future purchases or renewal periods. Any applicable price change will not retroactively alter a completed purchase.

IX. Cancellation and Termination

Clients may cancel ongoing services according to the cancellation terms applicable to their selected service or payment plan.

For Monthly Premium Care, cancellation may be submitted by emailing [email protected], and cancellation is effective upon receipt as described in Section VIII.

For Quarterly and Annual Premium Care plans, cancellation or non-renewal ends the service at the conclusion of the current paid term unless the client has separately authorized another renewal term.

SearchBoost Local may suspend or terminate services if a client fails to make required payments, repeatedly fails to provide necessary access or information, engages in abusive or unlawful conduct, or otherwise materially breaches these Terms.

Termination does not eliminate payment obligations that accrued before the effective date of termination.

X. Results and Performance Disclaimer

SearchBoost Local provides optimization, management, assessment, content, and strategic services intended to improve how local businesses are represented and discovered online. Local search performance depends on numerous factors outside SearchBoost Local’s control.

SearchBoost Local does not guarantee specific Google rankings, search positions, Visibility Scores, Performance Scores, Overall SBL Scores, traffic levels, inquiries, leads, sales, revenue, reviews, or other business outcomes.

GPS Matrix™ scores and classifications are SearchBoost Local’s assessment framework and should be understood as diagnostic measurements rather than guarantees of search visibility or business performance.

Past results, examples, assessments, case studies, or other illustrations do not guarantee similar results for another business.

XI. Third-Party Services

SearchBoost Local may use third-party platforms and service providers to operate its business and deliver services. These may include, depending on the service:

• Google Workspace and related Google services, including Google Drive, Docs, Sheets, and Calendar.
• Google Business Profile.
• Stripe for payment processing.
• HighLevel for website, communications, business-management, or related functions.
• Microsoft Outlook and related Microsoft services.
• Other third-party tools reasonably necessary to provide or administer SearchBoost Local’s services.

Third-party providers operate under their own terms and privacy practices. SearchBoost Local does not control the independent operation, availability, security, policies, or practices of third-party services.

XII. Privacy

SearchBoost Local’s collection and use of personal information is described in its Privacy Policy, which is incorporated into these Terms by reference.

The Privacy Policy explains how SearchBoost Local handles information collected through the website, products, services, and business communications.

Clients should not provide unnecessary sensitive personal information to SearchBoost Local in connection with the services.

XIII. Business Outreach and Commercial Email

SearchBoost Local may contact businesses by email regarding its services, Visibility Reviews, assessments, or related business offerings. Such communications may include direct business-to-business commercial outreach.

SearchBoost Local will comply with applicable commercial-email requirements, including applicable opt-out and identification requirements.

Recipients may opt out of future commercial emails from SearchBoost Local by following the unsubscribe or opt-out instructions provided in the applicable message. SearchBoost Local will process commercial-email opt-out requests within ten (10) business days and will maintain suppression records to help prevent future commercial emails to opted-out addresses.

SearchBoost Local does not operate a newsletter or subscription email program at this time. Commercial outreach may nevertheless be conducted independently of any newsletter or subscription service.

XIV. Limitation of Liability

To the fullest extent permitted by applicable law, SearchBoost Local will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost opportunities, loss of data, or loss of business resulting from or related to the use of its products or services.

SearchBoost Local is not responsible for losses resulting from changes to, interruptions of, or actions taken by Google or other third-party platforms, including changes to algorithms, policies, rankings, features, access, moderation, or availability.

To the fullest extent permitted by applicable law, SearchBoost Local’s total liability arising from a particular product or service will not exceed the amount actually paid to SearchBoost Local for that product or service during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

XV. Indemnification

To the extent permitted by applicable law, the client agrees to defend and indemnify SearchBoost Local against third-party claims arising from information, materials, instructions, representations, or content supplied by the client that is inaccurate, unlawful, infringing, or otherwise gives rise to a claim, except to the extent caused by SearchBoost Local’s own unlawful conduct or gross negligence.

XVI. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the services provided by SearchBoost Local will be subject to the jurisdiction of courts located in Connecticut, unless applicable law requires otherwise.

XVII. Changes to These Terms

SearchBoost Local may update these Terms from time to time to reflect changes in its services, business practices, technology, or applicable requirements.

The version in effect at the time of a purchase will generally govern that purchase unless a later update is required by law or expressly agreed to by the parties.

Any material changes to the Terms may be presented for acceptance before a new purchase, renewal, or other transaction when appropriate.

XVIII. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

XIX. Entire Agreement and Order of Precedence

These Terms, together with the applicable service or product description, purchase terms, and Privacy Policy, constitute the agreement between the client and SearchBoost Local concerning the applicable products or services.

If a specific written agreement between SearchBoost Local and a client conflicts with these Terms, the specific written agreement will control for the subject matter addressed by that agreement.

If a product or service page contains specific pricing, billing, cancellation, renewal, or other transaction terms that are expressly presented to and accepted by the client at the time of purchase, those transaction-specific terms will control over any conflicting general language in these Terms.
